Adcore: Ole Oftedal and other Adcore executives acquires Adcore shares. Incentive programme for Adcore management

Ole Oftedal, CEO of Adcore, has, as previously announced, acquired 68,750,000 Adcore shares for a total amount of SEK 27.5 million. Ole Oftedal thereafter owns, directly and via companies, a total amount of 68,798,692 Adcore shares, corresponding to 11.6 per cent of all shares after full conversion of outstanding convertibles and warrants. The shares were acquired from Active Holding B.V., who participated in Adcore’s directed issue.
Lars Evander, chairman of the Board in Adcore, together with certain executives in Adcore, have acquired a total amount of 6,200,000 shares at market value from one of Adcore’s major shareholders.
Furthermore, Johan Ek, part of Adcore’s management, has acquired 15,481,250 Adcore shares. Johan Ek thereafter owns, directly or via companies, a total amount of 16,186,150 Adcore shares, corresponding to 2.7 per cent of all shares after full conversion of outstanding convertibles and warrants. These shares were also acquired from Active Holding B.V.
In addition, a smaller group of executives in Adcore has acquired call options from Active Holding B.V. at market value. The options entitle to subscribe for around 25,000,000 shares in Adcore AB.
The Board of Directors in Adcore has resolved to propose to an EGM for an option programme to be directed to all staff. The terms and conditions for this programme will be presented shortly.
